Child Panel Policy

 

Effective immediately upon use of the Platform.
  

1. INTRODUCTION

This Agreement governs the use of the Parent Platform, including all Child Panel services, reseller systems, APIs, hosting infrastructure, and related software services.

By accessing, purchasing, subscribing to, or operating any service under this Platform, you agree to be legally bound by these Terms.
 

2. DEFINITIONS

 

Parent Platform – The core system, infrastructure, servers, APIs, architecture, security systems, and backend technology.

Child Panel – A licensed reseller panel operating under the Parent Platform.

User – Any purchaser, reseller, or operator of a Child Panel.

End Customer – Customers of the Child Panel owner.


 

3. LICENSE & OWNERSHIP

3.1 The Platform is licensed, not sold.

3.2 All intellectual property including:

  • Source code
  • API systems
  • Backend logic
  • Infrastructure configuration
  • Security framework
  • Pricing algorithms

Remain the sole property of the Parent Platform.


 3.3 No ownership rights are transferred to any User.


 4. API CONTROL & RESTRICTIONS

4.1 Child Panels may connect only to the official Parent Platform API.

4.2 The following are strictly prohibited:

  • Connecting external APIs
  • Injecting third-party services
  • Reverse engineering API endpoints
  • Bypassing pricing logic
  • Manipulating service routing

4.3 Violations result in immediate suspension or permanent termination without refund.


 5. HOSTING & INFRASTRUCTURE AUTHORITY

5.1 All Child Panels operate under managed infrastructure owned and controlled by the Parent Platform.

5.2 Users will not receive:

  • cPanel access
  • WHM access
  • Root server access
  • SSH access
  • Direct database access

5.3 Administrative dashboard access does not grant infrastructure ownership.


 6. PLAN RESOURCES & LIMITATIONS

Each plan includes defined resource allocations such as:

  • SSD / NVMe storage
  • Website limits
  • SSL certificate
  • Weekly automated backups
  • Bandwidth allocation
  • Database capacity

Exceeding limits requires plan upgrade.

 

7. DISCOUNT STRUCTURE

7.1 Child Panels receive structured discounted pricing.

7.2 Discounts allow profitable resale margins.

7.3 Discount privileges are revoked upon:

  • Subscription cancellation
  • Termination
  • Buyout migration


 8. PAYMENT TERMS

8.1 Subscription fees are non-refundable unless explicitly stated.

8.2 Failure to renew may result in:

  • Suspension
  • Service interruption
  • Data deletion after grace period

9. AUTOMATIC REFUND STRUCTURE

9.1 Refunds processed within the system are automatically credited to the respective Child Panel balance where applicable.

9.2 The Parent Platform is not responsible for disputes between Child Panels and their End Customers.

9.3 Refunds do not create liability beyond system wallet adjustments.


 10. CHARGEBACK PROTECTION POLICY

10.1 Any chargeback or payment dispute initiated due to actions of a Child Panel may result in:

  • Immediate investigation
  • Temporary suspension
  • Permanent termination in cases of fraud

10.2 Fraudulent chargebacks or abuse of payment systems may lead to permanent removal without refund.

10.3 The Parent Platform reserves the right to recover losses caused by payment abuse.


 

11. SECURITY & RISK DISCLAIMER

11.1 Industry-standard security measures are implemented.

11.2 However, no online system guarantees 100% security.

11.3 The Parent Platform is not liable for:

  • Cyber attacks
  • ISP failures
  • Government restrictions
  • Global outages
  • Force majeure events

12. DATA PROTECTION

 

12.1 The Parent Platform applies reasonable technical safeguards.

12.2 The User is responsible for:

  • Compliance with local data laws
  • Handling of End Customer data
  • Business regulatory compliance

 

13. ACCEPTABLE USE POLICY

Users must not use the Platform for:

  • Fraud
  • Money laundering
  • Spam operations
  • Illegal services
  • Copyright violations
  • System exploitation

Violation results in immediate suspension.


 

14. SUPPORT & TECHNICAL REPORTING

Users agree to report:
 

  • Bugs
  • Errors
  • Vulnerabilities
     

Users must not attempt backend system modifications.

 

15. BUYOUT & MIGRATION POLICY

15.1 Users may request permanent disconnection.

15.2 Users must purchase independent hosting and domain.

15.3 Migration assistance is provided under a separate agreement.

15.4 Migration fees range between $100 – $300 depending on complexity.

15.5 After migration:

  • API access is terminated
  • Discounts are revoked
  • Infrastructure management ends
  • Security management ends
     

16. LIMITATION OF LIABILITY

 To the maximum extent permitted by law:

  • The Parent Platform is not liable for indirect damages.
  • Not liable for lost profits.
  • Not liable for business loss.
  • Not liable for User customer disputes.

Total liability shall not exceed the subscription amount paid for the current billing period.

 

 

17. NO PARTNERSHIP CLAUSE

Nothing in this Agreement creates:

  • Partnership
  • Joint venture
  • Agency relationship
  • Employment relationship

Users operate independently.

 

 

18. INTELLECTUAL PROPERTY PROTECTION

All core technology, branding elements (unless white-labeled), and infrastructure remain proprietary.

Unauthorized copying, cloning, or replication is prohibited.


 

19. FORCE MAJEURE

The Parent Platform is not liable for failure or delay caused by:

  • Natural disasters
  • War
  • Civil unrest
  • Government regulations
  • Power outages
  • Global cyber incidents

 

20. SERVICE AVAILABILITY 

We aim for high uptime but do not guarantee uninterrupted service.

Maintenance, upgrades, and unforeseen issues may cause downtime.

 

 

21. MODIFICATION OF TERMS

The Parent Platform may update these Terms at any time.

Continued use after modification constitutes acceptance.

 

 

22. DISPUTE RESOLUTION 

Disputes shall first attempt mutual resolution. 

If unresolved, disputes shall follow the governing jurisdiction of the Parent Platform.


 

 

23. BUSINESS RESPONSIBILITY 

The User is fully responsible for: 

  • Their pricing
  • Their customers
  • Marketing claims
  • Refund handling
  • Local legal compliance

The Parent Platform is not responsible for the User’s business decisions.


 

24. AGREEMENT CONFIRMATION

By purchasing or operating any Child Panel, the User:

✔ Accepts all operational restrictions

✔ Accepts API limitations

✔ Accepts hosting limitations

✔ Accepts refund and chargeback policies

✔ Accepts liability limitations

✔ Accepts infrastructure control

✔ Accepts migration conditions


 

Use of the Platform constitutes legally binding acceptance.
